1. Overview

Valence OS is an invite-only operator matching platform currently operating in private beta. By accessing or using this platform, you agree to these Terms of Service. If you do not agree, please do not use the platform.

These terms apply to all visitors, prospects, and users of the Valence OS platform and any associated communications.

2. Beta Stage — Pre-Commercial

Valence OS is in a private beta stage and is not yet a commercially released product. We are not processing formal engagements or payments through the platform at this time.

Participation in the beta is at your own discretion. Features, availability, pricing, and platform terms may change before general release.

Any fees, rates, or pricing information shown on the platform are indicative and are not binding offers. No payment or contractual obligation will be created until an explicit written agreement is executed between the relevant parties.

3. Operator Anonymization and Confidentiality

Operator profiles on Valence OS are anonymized by default. No personally identifiable information (PII) — including names, contact details, or employer history — is shared with any company or prospect without the explicit, informed consent of the operator in question.

Valence OS acts as an intermediary and does not disclose operator identities until both parties agree to proceed to a formal introduction.

4. No Guarantees of Placement or Outcome

Valence OS facilitates introductions and matching between companies and operators. We do not guarantee that any match will result in a placement, engagement, or successful outcome.

Match quality is based on the information provided at the time of submission and is subject to operator availability, situation fit, and mutual agreement between the relevant parties.

5. Acceptable Use

You agree to use Valence OS only for lawful business purposes. You may not misrepresent your company, situation, or intent when submitting a briefing request. Submissions must be made in good faith.

You may not reverse engineer, scrape, or attempt to extract operator data from the platform.

6. Intellectual Property

All content on Valence OS — including operator playbooks, platform design, copy, and methodology — is the proprietary property of Valence OS. You may not copy, reproduce, or distribute platform content without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, Valence OS shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the platform or any introductions facilitated through it.

The platform is provided on an "as is" and "as available" basis during the beta period, without warranties of any kind, express or implied.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

To the extent that any matter arises under Israeli jurisdiction — including but not limited to users or operators located in Israel — Israeli law shall apply to the extent required by applicable law.

Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration or the courts of Delaware, as applicable.

9. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date at the top of this page when changes are made. Continued use of the platform after any changes constitutes your acceptance of the revised Terms.
